Wyoming LLC Basics

Wyoming offers the full package: no state income tax, no franchise tax, no taxes on LLC members, and strong privacy laws (member names are not required on public filings). Wyoming also has some of the strongest asset protection statutes in the country — creditors have very limited options to reach LLC assets.

You don't need to live in Wyoming to benefit. The vast majority of our clients are based in other states or even other countries. A Wyoming LLC is a legal business entity recognized nationwide and internationally.

Yes — Wyoming law requires every LLC to have a registered agent. A registered agent is a person or company with a physical street address in Wyoming who can receive official state mail and legal documents (like lawsuits or subpoenas) on behalf of your LLC.

You cannot use a P.O. Box. You cannot list your own address if you're not in Wyoming. That's exactly what we provide — a permanent Wyoming address, same-day document forwarding, and compliance reminders — for $69/year flat.

Yes — and that's the point. Wyoming allows non-residents (including foreign nationals) to form and own Wyoming LLCs. You can manage the LLC from any state or any country.

The only Wyoming requirement is a registered agent physically located in Wyoming — that's us. Everything else can be handled remotely: signing documents electronically, opening bank accounts online, and managing the business from wherever you are.

Yes. We offer nominee member and nominee manager services — meaning our name (or a professional nominee) appears on the public Wyoming filing instead of yours. You retain full legal control via a private operating agreement that we draft for you.

This is a legitimate, legal strategy widely used by business owners, real estate investors, and anyone who values privacy. Wyoming's public records don't require disclosure of LLC members by default, so nominee services add an additional layer of separation.

Standard processing with the Wyoming Secretary of State is 1–3 business days. We offer same-day filing on orders placed during normal business hours — your LLC can be formed today.

After filing, we'll send you the approved Articles of Organization and your EIN by email, typically within 1–2 business days of state approval.

Compliance & Reporting

BOI stands for Beneficial Ownership Information — a federal reporting requirement under FinCEN (the Financial Crimes Enforcement Network). As of 2024, most U.S. LLCs must file a BOI report identifying who owns or controls the company.

New LLCs formed in 2024 or later must file within 90 days of formation. Existing LLCs formed before 2024 had a January 1, 2025 deadline (check FinCEN for current status).

Filing is free and done directly at fincen.gov. It takes about 10 minutes. We recommend you file this yourself or with a CPA — it's simple. We can answer questions if you need help.

Yes. Wyoming requires an annual report filed each year to keep your LLC in good standing. The state filing fee is $60/year (based on assets). Miss it and Wyoming will administratively dissolve your LLC.

Annual report filing is included with your registered agent service. We track the deadline, prepare the report, and file it for you. You won't lose your LLC to a missed deadline on our watch.

Special Structures

A Series LLC is a special structure that lets you create multiple separate "cells" (called series) under one master LLC umbrella — each with its own liability protection, assets, and members. If one series gets sued, the assets in other series are protected.

It's popular with real estate investors who want to hold each property in a separate liability shield without forming and paying for a dozen individual LLCs. Wyoming is one of the best states for Series LLCs because the legislation is clear and well-tested.

Montana LLC for Vehicle Registration

Forming a Montana LLC and registering a vehicle to it is legal. Montana has no sales tax. Registering a vehicle through a Montana LLC avoids sales tax in high-tax states like California, Florida, or Texas.

However, your home state's use tax laws still apply. Some states — notably California — have aggressively pursued residents who register vehicles in Montana while garaging them in-state. The strategy works best when the vehicle genuinely travels or is primarily garaged outside your home state.

We recommend consulting a tax attorney to understand your specific state's rules before proceeding. We form the Montana LLC — the tax strategy is your responsibility to execute correctly.

Read the Full Guide →

Savings depend on your state's sales tax and the vehicle's purchase price. Some examples:

  • $100,000 car in California (7.25% tax) → save $7,250
  • $250,000 RV in Florida (6% tax) → save $15,000
  • $500,000 motorhome in Texas (6.25% tax) → save $31,250
  • $1M+ exotic car or boat → save $60,000–$100,000+

Montana LLC formation is $199 one-time. On any high-value vehicle, the math is obvious.

This is more complex. Most lenders put the vehicle title in the borrower's name as collateral — transferring it to an LLC may violate your loan agreement or require lender approval. Some specialty finance companies work with LLC ownership; most standard auto lenders don't.

The Montana LLC strategy is most cleanly executed on cash purchases or paid-off vehicles. If your vehicle is financed, consult your lender first. We have a full guide on this topic:

EZ Corp vs. ZenBusiness, LegalZoom & Others

Three differences that matter:

  • Price: EZ Corp charges $199 all-in (state fee included). ZenBusiness advertises $0 but adds ~$100 state fee. Renewal: EZ Corp $69/year forever; ZenBusiness $199/year; LegalZoom $249/year.
  • Service: You talk to a real person who knows your file. Not a chatbot, not a ticket queue. We've been doing this 20+ years.
  • Upsells: We don't do them. Competitors upsell you compliance packages, operating agreement bundles, and annual report services at checkout. Our $199 includes all of that.
